1. Acceptance of Terms
By accessing the dexit.ai website or downloading, installing, or using the DEXIT® software application, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our website or software. These Terms constitute a legally binding agreement between you and dexit.ai inc. ("Company," "we," "us," or "our").
2. Description of Service
DEXIT is a privacy-first digital information management application that provides encrypted file storage, password management, bookmark organization, multimedia management, and AI chat capabilities through the UNITY™ engine, all protected by AI Guardian™ content filtering. DEXIT operates using zero-knowledge architecture with AES-256 encryption, meaning all user data is encrypted locally on the user's device.
3. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use DEXIT for personal or business purposes. You may install and run DEXIT on devices you own or control, including portable storage devices such as flash drives. This license does not grant you ownership of the software or any intellectual property rights therein.
4. User Responsibilities
You are responsible for:
- Maintaining the confidentiality of your passphrase and any access credentials
- All activity that occurs under your account or installation
- Ensuring your use of DEXIT complies with all applicable laws and regulations
- Backing up your data — due to our zero-knowledge architecture, we cannot recover lost data or forgotten passphrases
- Configuring AI Guardian™ settings appropriately if minors will use the application
5. Passphrase & Data Recovery
DEXIT uses a zero-knowledge encryption model. Your passphrase is the sole key to your encrypted data. We do not store, have access to, or have the ability to recover your passphrase. If you forget or lose your passphrase, your encrypted data cannot be recovered by anyone, including dexit.ai inc. You acknowledge and accept this risk as an inherent aspect of DEXIT's privacy-by-design architecture.
6. AI Services & UNITY™ Engine
DEXIT's UNITY™ engine enables connections to third-party AI providers. Your use of these third-party AI services is subject to those providers' own terms and conditions. dexit.ai inc. is not responsible for the content, accuracy, or availability of third-party AI services. AI responses generated through UNITY™ are provided as-is and should not be relied upon as professional, legal, medical, or financial advice.
7. AI Guardian™
AI Guardian™ provides content filtering designed to help protect users from harmful AI-generated content. While we strive to make AI Guardian™ effective, no filtering system is perfect. We do not guarantee that AI Guardian™ will block all inappropriate content. Parents and guardians remain responsible for supervising minors' use of AI features.
8. Intellectual Property
DEXIT®, UNITY™, AI Guardian™, iDASH, Tablet View, and all associated logos, designs, and content are the property of dexit.ai inc. and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our software or services, nor may you reverse-engineer or attempt to extract the source code of the software.
9. Prohibited Uses
You agree not to use DEXIT or our website to:
- Violate any applicable law or regulation
- Store, transmit, or distribute malicious software or harmful content
- Infringe on the intellectual property rights of others
- Attempt to circumvent, disable, or interfere with security features
- Use the software for any illegal or unauthorized purpose
- Redistribute, sublicense, or resell the software without written authorization
10. Disclaimer of Warranties
DEXIT and all associated services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be uninterrupted, error-free, or completely secure beyond the encryption mechanisms described.
11. Limitation of Liability
To the maximum extent permitted by applicable law, dexit.ai inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or related to your use of DEXIT or our website, even if we have been advised of the possibility of such damages. Because of our zero-knowledge architecture, we expressly disclaim any liability for data loss resulting from forgotten or lost passphrases.
12. Indemnification
You agree to indemnify, defend, and hold harmless dexit.ai inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of DEXIT or violation of these Terms.
13. Termination
We reserve the right to suspend or terminate your access to our website or services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your license to use DEXIT is revoked. Data stored locally on your device remains yours.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delaware.
15. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated effective date. Your continued use of DEXIT or our website after any changes constitutes acceptance of the new Terms.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
